By participating or continuing to participate in Radisson Rewards Americas after the Effective Date, you agree to the following:

Radisson Rewards Americas is the hotel rewards program (as further defined below, “Radisson Rewards” or the “Program”) may be provided from time to time to Program members (“members”, “you” or “your”) by Radisson Hospitality, Inc. and its subsidiaries (“Radisson”, “we”, “us” or “our”). Radisson Rewards Americas offers its members the opportunity to earn and redeem Points (at Participating Properties and with Partners). These terms and conditions (the “Program Terms”) govern your membership and participation in Radisson Rewards Americas, and it is your responsibility to read and understand all of them. Radisson may at any time, in its sole discretion and without notice or liability, terminate, amend, modify or supplement Radisson Rewards Americas, Program benefits, or the Program Terms. By becoming and remaining a member of Radisson Rewards Americas, and receiving and redeeming points, you agree that you have read, understand and accept these Program Terms, as amended from time to time. Membership and Program benefits are offered at the sole discretion of Radisson.

1. RADISSON REWARDS AMERICAS DEFINITIONS

a. “Award Night” means a night at a Participating Property paid for by redeeming points. Award Nights are subject to these Program Terms and the terms and conditions of the Participating Property.

b. “Award Stay” means any stay at a Participating Property that includes one or more Award Nights.

c. “Eligible Booking” means a reservation made on a GDS or a Radisson website for an Eligible Stay at an Eligible Rate.

d. “Eligible Food and Beverages” means certain food and beverages charged to your room during an Eligible Stay.

e. “Eligible Night” means a night at a Participating Property that is booked at an Eligible Rate.

f. “Eligible Rate” means a rate identified in Radisson Hotels Americas’ reservation system as eligible for points. Eligible Rate does not include, without limitation, the following: airline crew rates; travel agency employee rates; certain promotional and package rates; rates paid using a free night voucher and other complimentary or barter rooms; rates booked through an online travel company, whether such rates are direct, auction or bid rates; rates booked and billed through a master account, including group accounts and tour operator accounts; and certain other rates booked through third parties.

g. “Eligible Stay” means one or more consecutive Eligible Night(s) at the same Participating Property, regardless of the number of check-ins or check-outs that occur during that stay.

h. “Elite Status” means an individual member’s status in Radisson Rewards Americas with different and/or additional Program benefits according to status, as determined by Radisson from time to time in its sole discretion.

i. “Event Purchase” means the US dollar amount spent at a Participating Property for certain costs associated with meetings, events, and conventions, excluding tax and gratuities charged to the event master bill.

j. “Express Awards” means benefits, services, and amenities offered by a Participating Property for which members may redeem points.

k. “GDS” means a Global Distribution System.

l. “Participating Property” means certain hotels and properties located in the United States of America, Canada, Latin America, and the Caribbean operating under Radisson brands, including Radisson Individuals, Radisson Collection, Radisson Blu, Radisson, Radisson RED, Park Plaza, Park Inn by Radisson, and Country Inn & Suites by Radisson, and other brands or concepts that may be added by Radisson, that provide benefits to Radisson Rewards Americas members from time to time. Participating Properties and the Program benefits provided by each Participating Property are subject to change at any time without notice.

m. “Partners” means third parties and their service providers that provide benefits to Radisson Rewards Americas members from time to time. Partners and the Program benefits provided by each Partner are subject to change at any time without notice. Nothing in the Program Terms is intended to or shall create or establish any agency, partnership, or joint venture relationship between us and our Partners.

n. “Points” means Radisson Rewards Americas points.

o. “Radisson Rewards Americas” means the Radisson Hotel Group Americas loyalty program which supports members who earn and/or redeem points at Participating Properties in the United States, Canada, Latin America, and the Caribbean.

p. “Radisson Rewards for Business Americas” means the Radisson Hotel Group Americas loyalty program which supports our business members who earn and redeem Points as a meeting and event planner or as a travel consultant.

q. “Radisson Rewards” means the Radisson Hotel Group loyalty program which supports members who earn and/or redeem Radisson Rewards points at hotel properties in Europe, the Middle East, Africa, and Asia Pacific.

r. “Radisson Rewards for Business” refers to the Radisson Hotel Group loyalty program which supports business members who earn and redeem Radisson Rewards points as a meeting and event planner or travel consultant.

s. “Room Charges” means the US dollar amount of the Eligible Rate paid during an Eligible Stay. Room Charges do not include tax, incidental, or third-party charges incurred and charged to the room, such as charges for telephone or other communications services, laundry, pay-per-view movies, entertainment, recreational facilities, restaurants, banquets, catering, gift shops, stores, tenants, vendors, or concessionaires.

2. MEMBERSHIP IN RADISSON REWARDS AMERICAS

a. Eligibility: Application for membership in Radisson Rewards Americas is open to individual persons who are of majority age in their place of residence. Radisson Rewards Americas members must provide and maintain an accurate email address and an accurate physical address, including city, state or province, and country of residence. An individual may maintain only one Radisson Rewards Americas membership and may not earn Points on more than one Radisson Rewards Americas account. Membership and participation in Radisson Rewards Americas is void where prohibited by applicable law, rule, or regulation.

b. Enrollment: You may apply for membership in Radisson Rewards Americas at a Participating Property, online at www.radissonhotelsamericas.com/en-us/rewards, or by telephone by calling Member Services. To find the number for your area, visit www.radissonhotelsamericas.com/en-us/contact-us. We may, in our sole discretion and without any liability to you, accept or decline your application for membership in Radisson Rewards Americas. If we accept your application for membership, we will establish a Radisson Rewards Americas account in your name. If you apply for membership at a Participating Property and your application is accepted, you will receive your Radisson Rewards Americas member number and credentials at the time of enrollment. If you apply for membership online or by telephone and your application is accepted, you will receive your Radisson Rewards Americas member number and credentials in an email.

c. Membership Obligations: As a Radisson Rewards Americas member, you agree to comply with these Program Terms, the applicable terms and conditions of our Partners, and all applicable laws, rules, and regulations. You agree that your participation in Radisson Rewards Americas is entirely at your own risk. You agree that if you object to any of these Program Terms, or any modifications thereof, or otherwise become dissatisfied with Radisson Rewards Americas, your only recourse is to terminate your membership. You agree that you are responsible for restricting access to and maintaining the confidentiality of your Radisson Rewards Americas member number, account, and password. You also agree to promptly notify us if your Radisson Rewards Americas member number is stolen, or if you believe your password has been stolen or compromised. You agree that you will provide accurate information to us at all times and promptly notify us of any change in your information. You understand that the receipt of benefits as a Radisson Rewards Americas member may be subject to tax liability, and agree that any tax liability, including disclosure, with respect to your membership in Radisson Rewards Americas is solely your responsibility.

d. Expiration of Points and Termination of Membership:

i. Expiration of Points: If there is no Points activity in your Radisson Rewards Americas account for any 24-month period, we may, at any time and in our sole discretion and without notice or liability to you, void and cancel any or all of your Points.

ii. Termination of Your Membership in Radisson Rewards Americas by You: You may terminate your membership in Radisson Rewards Americas at any time by contacting us.

iii. Other Modifications to and Termination of Your Membership In Radisson Rewards Americas By Us: In addition to the above, we may, at any time in our sole discretion and without notice or any liability to you, (i) modify, suspend, or terminate your membership in Radisson Rewards Americas; (ii) modify, suspend, or terminate your Elite Status; (iii) modify, suspend, void or cancel all or a portion of your points; (iv) modify, suspend, void or cancel your redemption of points. We may take these actions for the convenience of Radisson Rewards Americas, or if there are reasonable grounds for suspecting, in our sole discretion, that (i) you have violated or are using the Program in a manner inconsistent with these Program Terms or the intent of the Program or any portion of the Program; (ii) you have misused or abused Radisson Rewards Americas; (iii) your account activity or membership status involves or results from fraud, dishonesty, theft, or other illegal or improper means; (iv) you knowingly attempt to obtain or maintain more than one Radisson Rewards Americas account; (v) your membership or participation in Radisson Rewards Americas violates any applicable laws, terms, or regulations; (vi) our provision of benefits under Radisson Rewards Americas violates any applicable laws, terms, or regulations; or (vii) you fail to pay any amounts due to or engage in abusive, inappropriate, offensive, or hostile conduct in connection with Radisson Rewards Americas, Participating Properties, Radisson, or our Partners, or their respective officers, directors, agents, employees, representatives, or guests. These rights are in addition to any other remedy which may be available to us under applicable law, and we have the right to take appropriate administrative and/or legal action, including, without limitation, criminal or civil prosecution, we deem necessary in our sole discretion.

iv. Effect of Termination: If your membership in Radisson Rewards Americas is terminated for any reason, your Radisson Rewards Americas account will be closed and all points in your Radisson Rewards Americas account will be cancelled, forfeited, void, and no longer available for redemption. If we modify, suspend, void, or cancel any or all your points, such points will be removed from your Radisson Rewards Americas account and will no longer be available for redemption.

v. Eligibility and Enrollment in the Radisson Rewards Program: Non-members and members of Radisson Rewards Americas may be eligible to become a member of the Radisson Rewards program. Application for membership and enrollment in the Radisson Rewards program is subject to the Radisson Rewards Terms and Conditions and Privacy Policy which can be found at www.radissonhotels.com/en-us/terms-and-conditions. Please note that if you want to take advantage of Global Points Transfer, then you must use the same member name and email address for both Radisson Rewards Americas and Radisson Rewards or Radisson Rewards for Business Americas and Radisson Rewards for Business, as applicable.

3. MEMBERSHIP IN RADISSON REWARDS FOR BUSINESS AMERICAS

a. Eligibility: Application for membership in Radisson Rewards for Business Americas is open to individual persons who are of majority age in their place of residence who are:

i. travel agents or travel consultants in eligible countries and members of ARC/IATA/CLIA/TIDS/TRUE; or

ii. special event planners or other business professionals who plan meetings and conferences

Radisson Rewards for Business Americas members must provide and maintain an accurate email address and an accurate physical address, including city, state or province, and country of residence. An individual may maintain only one Radisson Rewards Americas membership and may not earn Points on more than one Radisson Rewards Americas account. Membership and participation in Radisson Rewards Americas is void where prohibited by applicable law, rule or regulation.

b. Enrollment: You may apply for membership in Radisson Rewards for Business Americas at a Participating Property, online at www.radissonhotelsamericas.com/en-us/rewards/join-b2b, or by telephone by calling Member Services. To find the number for your area visit www.radissonhotelsamericas.com/en-us/contact-us. We may, in our sole discretion and without any liability to you, accept or decline your application for membership in Radisson Rewards for Business Americas. If we accept your application for membership, we will establish a Radisson Rewards for Business Americas account in your name and send your Radisson Rewards for Business account Americas number to the email address you provide during enrollment.

c. Membership Obligations: As a Radisson Rewards for Business Americas member, you agree to comply with these Program Terms, the applicable terms and conditions of our Partners, and all applicable laws, rules, and regulations. You agree that your participation in Radisson Rewards for Business Americas is entirely at your own risk. You agree that if you object to any of these Program Terms, or any modifications thereof, or otherwise become dissatisfied with Radisson Rewards for Business Americas, your only recourse is to terminate your membership. You agree that you are responsible for restricting access to and maintaining the confidentiality of your Radisson Rewards for Business Americas account number and member profile. You also agree to promptly notify us if you believe your Radisson Rewards for Business Americas account number or member profile, including your password, has been stolen or compromised. You agree that you will provide accurate information to us at all times and promptly notify us of any change in your information. You understand that the receipt of benefits as a Radisson Rewards for Business Americas member may be subject to tax liability, and agree that any tax liability, including disclosure, with respect to your membership in Radisson Rewards for Business Americas is solely your responsibility. Members in the US and Canada are required to provide their Social Security Number or Social Insurance Number. US members are taxed based on the amount earned in a calendar year and Canadian members are taxed based on the amount redeemed in a calendar year. Please consult a tax advisor regarding any questions about program taxes. Where required by law, you must notify your employer and/or agency, as applicable, and your customers and clients regarding your participation in the Program. By participating in the Program, you affirm that you have so notified your employer and/or agency, customers and clients, and that they understand that as a result of your membership in Radisson Rewards for Business Americas you may receive Program benefits.

d. Expiration of Points and Termination of Membership:

i. Expiration of Points: If there is no points activity in your Radisson Rewards for Business Americas account for any 24-month period, we may, at any time and in our sole discretion and without notice or liability to you, void and cancel any or all of your points.

ii. Termination of Your Membership in Radisson Rewards for Business Americas by You: You may terminate your membership in Radisson Rewards for Business Americas at any time by contacting us.

iii. Other Modifications to and Termination of Your Membership in Radisson Rewards for Business Americas By Us: In addition to the above, we may, at any time in our sole discretion and without notice or any liability to you, (i) modify, suspend, or terminate your membership in Radisson Rewards for Business Americas; (ii) modify, suspend, void, or cancel all or a portion of your points; (iii) modify, suspend, void, or cancel your redemption of points. We may take these actions for the convenience of Radisson Rewards for Business Americas, or if there are reasonable grounds for suspecting, in our sole discretion, that (i) you have violated or are using the Program in a manner inconsistent with these Program Terms or the intent of the Program or any portion of the Program; (ii) you have misused or abused Radisson Rewards for Business Americas; (iii) your account activity or membership status involves or results from fraud, dishonesty, theft, or other illegal or improper means; (iv) you knowingly attempt to obtain or maintain more than one Radisson Rewards for Business Americas account; (v) your membership or participation in Radisson Rewards for Business Americas violates any applicable laws, terms, or regulations; (vi) our provision of benefits under Radisson Rewards for Business Americas violates any applicable laws, terms, or regulations; or (vii) you fail to pay any amounts due to or engage in abusive, inappropriate, offensive, or hostile conduct in connection with Radisson Rewards for Business Americas, Participating Properties, Radisson, or our Partners, or their respective officers, directors, agents, employees, representatives, or guests. These rights are in addition to any other remedy which may be available to us under applicable law and we have the right to take appropriate administrative and/or legal action, including, without limitation, criminal or civil prosecution, we deem necessary in our sole discretion.

iv. Effect of Termination: If your membership in Radisson Rewards for Business Americas is terminated for any reason, your Radisson Rewards for Business Americas account will be closed and all points in your Radisson Rewards for Business Americas account will be cancelled, forfeited, void, and no longer available for redemption. If we modify, suspend, void, or cancel any or all of your points, such points will be removed from your Radisson Rewards for Business Americas account and will no longer be available for redemption.

v. Eligibility and Enrollment in the Radisson Rewards for Business Program: Non-members and members of Radisson Rewards for Business Americas may be eligible to become a member of the Radisson Rewards for Business program. Application for membership and enrollment in Radisson Rewards for Business program is subject to the Program Terms and Conditions and Privacy Policy and can be found at www.radissonhotels.com/en-us/terms-and-conditions. Please note that if you want to take advantage of Global Points Transfer, you must use the same member name and email address for both Radisson Rewards Americas and Radisson Rewards or Radisson Rewards for Business Americas and Radisson Rewards for Business, as applicable.

4. POINTS

a. Earning Points in Radisson Rewards Americas:

i. At Participating Properties: Radisson Rewards Americas members may earn 20 points per US dollar spent on Room Charges and Eligible Food and Beverages at Participating Properties. Points are not awarded for tax or tip, alcoholic beverages, room service, or in-room dining, catering or banquets, or group or parties of six or more. You must provide your Radisson Rewards Americas member number when the reservation is made or at check-in. No points will be earned and no Eligible Nights/Stay for earning Elite Status will be credited if a property ceases to be a Participating Property after a reservation is made but before an Eligible Stay.

Points are considered earned once the stay has been completed, all charges have been fully paid, and the points have been added to your account. Points are not available for redemption before an Eligible Stay has been completed, fully paid, and added to your account. Points may be earned by only one Radisson Rewards Americas member per Eligible Stay, and that member must appear on the reservation and be the registered guest.

Points may be earned on up to three rooms booked under the same reservation, but credit for multiple rooms must be requested at or before the time of check-in and the member must appear on the reservation for at least one of the booked rooms and be a registered guest for the duration of the Eligible Stay. Points may not be earned for any other reservations that do not include the Radisson Rewards Americas member's name on the reservation and for which the member is not the registered guest.

ii. Through Partners: Radisson Rewards Americas members may earn points with our Partners. These opportunities may vary based on the Radisson Rewards Americas member’s country of residence, may not be available to all members, are subject to change at any time without notice, are governed by these Program Terms, and are subject to additional terms and conditions as required by an individual Partner. Partners are independent entities and we are not responsible for the nature or quality of products or services provided by any Partners, nor for any solicitation or marketing efforts by any Partners. You are responsible for complying with the Partners’ terms and conditions, and privacy and usage policies. We are not responsible for and assume no liability for the terms, changes, or discontinuances of Partners’ terms, conditions, privacy and usage policies, products, or services. By providing your Radisson Rewards Americas member number to a Participating Property, you indicate your preference to earn points.

iii. Purchasing Points: We may offer Radisson Rewards Americas members, from time to time and in our sole discretion, the option to purchase points. We currently offer members the option to purchase points through Points.com. Additional terms and conditions apply, and may be found at www.radissonhotelsamericas.com/en-us/rewards/redeem/points. Points that are purchased are subject to these Program Terms. Any other sale, purchase, barter, auction, gift, transfer, or assignment of points, except as may be specifically allowed in these Program Terms, is prohibited and will not be honored. Members redeeming points for miles with Lufthansa’s Miles & More program will not be allowed to complete the transaction if they have ever purchased points or been gifted points in their Radisson Rewards Americas account for the lifetime of the account.

iv. Radisson Rewards Visa Card: Radisson Rewards Americas members who reside in the US may earn points and qualify for additional benefits by using the Radisson Rewards Visa Card. Additional terms and conditions apply, and may be found at www.radissonrewardsvisa.com/credit/welcome.do.

a. Earning Points in Radisson Rewards for Business Americas: Points can be earned by members as follows:

i. Earning points for Travel Agents: Travel Agent members may earn 10 points per dollar spent on an Eligible Booking. Radisson Rewards for Business Americas Travel Agent members who want to earn points must be a member of the program that supports the property they are booking. If you are booking a stay at a Participating Property in the Radisson Hotel Group Americas portfolio, namely, Participating Properties located in the United States, Canada, Latin America, and the Caribbean, you will need to be a member of Radisson Rewards for Business Americas and enter your 16-digit member number in the global distribution system (GDS) to earn points for that booking. Points will be issued at the time of the guest’s stay. Nights or stays associated with booking a stay for someone else do not count towards your Elite Status.

ii. Earning Points for Event Purchases: Meeting & Event Planner Members may earn 5 points per dollar spent for Event Purchases. Points for Event Purchases may not be earned where prohibited by applicable law, rule, or regulation. You must request to earn points for Event Purchases at the time the meeting, event, or convention is booked by including your name and Radisson Rewards for Business Americas member number on the contract with the Participating Property. Event Purchases must be applied to one master bill in order to be eligible for points. Only one Radisson Rewards for Business Americas member may earn points for Event Purchases. You do not have to attend the meeting or event to be eligible to earn points for Event Purchases. Some services and amenities may not be provided directly by the Participating Property, and these and other charges, including charges for cancellation, attrition, and other payments, may not be eligible as Event Purchases. Nights or stays associated with a meeting or event do not count towards your Elite Status.

iii. Disclosure and Consent: You are responsible for disclosing to and receiving consent from your employer, principal, and/or client that you will earn points and other incentives received from Radisson Rewards for Business Americas, and must comply with any applicable gift and incentive policies.

b. Redeeming Points:

i. Generally: Radisson Rewards Americas and Radisson Rewards for Business Americas members may redeem points at Participating Properties or through our Partners. Points may be redeemed for the benefit of the Radisson Rewards Americas or Radisson Rewards for Business Americas member or for another individual as a gift. Except for transfers of points expressly allowed in these Program Terms or with Radisson’s written consent, points may not otherwise be sold, exchanged, bartered, brokered, transferred, purchased, auctioned, or given away. Redemption options are subject to change from time to time without notice in our sole discretion. Members redeeming points for miles with Lufthansa’s Miles &More program will not be allowed to complete the transaction if they have ever purchased points or been gifted points in their Radisson Rewards Americas for the lifetime of the account. When redeeming points, you will be required to verify your Radisson Rewards Americas or Radisson Rewards for Business Americas account information. The corresponding number of points will be subtracted from your account at the time the transaction is initiated, and there must be a sufficient number of points in your account at that time for the transaction. Points in two or more different accounts may not be combined for redemption. Redemption transactions may be approved or revoked at the sole discretion of Radisson.

When redeeming points, you will be required to verify your Radisson Rewards account information. The corresponding number of points will be subtracted from your Radisson Rewards account at the time the transaction is initiated, and there must be a sufficient number of points in your Radisson Rewards account at that time for the transaction. Points in two or more different accounts may not be combined for redemption. Redemption transactions may be approved or revoked at the sole discretion of Radisson Hotels Americas.

ii. At Participating Properties:

(a) Award Nights: Radisson Rewards Americas or Radisson Rewards for Business Americas members may redeem points for Award Nights at Participating Properties, subject to availability. Award Night reservations must be made in advance and must be made through the Radisson Hotels Americas website, the Radisson Hotels Americas mobile app, or through Radisson’s telephone reservation center. Award Nights may not be combined with other certificates, discounts, packages, or promotional offers and are not commissionable, including without limitation commissions to travel agents. Award Nights apply to a standard room with standard occupancy. Additional occupants are subject to the Participating Property’s standard extra person charges. Award Nights are subject to each Participating Property’s cancellation, guarantee, and deposit policies. Points equal to one night of an Award Night reservation will be deducted from your account if your reservation is not cancelled in accordance with the Participating Property’s cancellation policy. Any incidental charges in connection with an Award Night are the sole responsibility of the member.

If a hotel ceases to be a Participating Property after an Award Night reservation is made, but before the actual stay, Radisson will use reasonable efforts to have the hotel honor the Award Night reservation, but cannot and does not guarantee that any such Award Night reservations will be honored. In addition, at the discretion of Radisson, Award Nights may not be available for reservation at a hotel once it is determined that such hotel will be leaving the Radisson system or otherwise will cease to be a hotel in the Radisson system regardless of the length of time before such hotel actually leaves the system.

(b) Express Awards: Radisson Rewards Americas members may redeem points for Express Awards. Express Awards, redemption requirements, and any additional terms and conditions are determined by each Participating Property in its sole discretion.

iii. Through Partners: Radisson Rewards Americas members may redeem points with our Partners. Redemption opportunities and requirements with each Partner vary, are not available where prohibited by law, are subject to change at any time, are governed by these Program Terms, and are subject to additional terms and conditions as required by an individual Partner. Partners are independent entities and we are not responsible for the nature or quality of products or services provided by any Partners, nor for any solicitation or marketing efforts by any Partners. You are responsible for directly checking and complying with a Partner’s terms, conditions, and privacy and usage policies. We are not responsible for and assume no liability for the terms, changes, or discontinuances of a Partner’s terms, conditions, privacy and usage policies, products, or services.

iv. Donating Points: Radisson Rewards Americas members may donate points to certain nonprofit organizations, as determined by us from time to time at our sole discretion. Any other donation, transfer, or gift of points is prohibited and will not be honored. Donated points are not tax-deductible.

d. Transferring Points through Global Points Transfer: Radisson Rewards Americas and Radisson Rewards for Business Americas members may transfer points to Radisson Rewards and Radisson Rewards for Business, respectively. As indicated above, members must have an account in both the applicable Radisson Rewards Americas and Radisson Rewards programs with the same email address and name in the account to use the Global Points Transfer process. Radisson Rewards Americas reserves the right to, in its sole discretion, disqualify any member from participation in the Global Points Transfer option; to make changes to the programs; and to modify or discontinue the transfer option in whole or in part, including, without limitation, prices, point increments, and the use of Points.com for the processing of purchased points, without prior notice.

e. Elite Status: Radisson Rewards Americas members may qualify for Elite Status. Benefits, awards, redemption opportunities, and requirements for Elite Status are determined by us from time to time at our sole discretion. Members are eligible for Elite Status depending on the number of Eligible Nights or Eligible Stays at Participating Properties in a calendar year as follows:

i. Silver Elite Status: Radisson Rewards Americas members may earn Silver Elite Status with at least 9 Eligible Nights or 6 Eligible Stays in one calendar year.

ii. Gold Elite Status: Radisson Rewards Americas members may earn Gold Elite Status with at least 30 Eligible Nights or 20 Eligible Stays in one calendar year.

iii. Platinum Elite Status: Radisson Rewards Americas members may earn Platinum Elite Status with at least 60 Eligible Nights or 30 Eligible Stays in one calendar year. Once you qualify for Elite Status, you will maintain that status for the remainder of the then-current calendar year and through the following Program year, which runs from March 1 to February 28/29. We may from time to time grant discretionary Elite Status or offer promotion(s) that modify the criteria necessary to earn Elite Status. Unless provided by the terms of a promotion, a discretionary or promotional upgrade to an Elite Status does not waive the full number of Eligible Nights or Eligible Stays required for the next Elite Status or modify the length of time the Elite Status will remain in effect.

iv. Program-to-Program Status Match between Radisson Rewards Americas and Radisson Rewards: Elite members of either Radisson Rewards or Radisson Rewards Americas can request to match their current elite tier in the other program on a tier-to-tier basis – up to and including Platinum tier, when enrolling in the other program. This feature will allow the member to receive the same elite tier benefits in both programs across all participating properties in both programs. For clarity, once a member is enrolled in both programs, points will only be earned within the applicable program and the member’s elite tier status in one program will not affect points earnings (including bonus points) in the other. Radisson Rewards Americas reserves the right to, in its sole discretion, make changes to or discontinue the Program-to-Program Status Match option, in whole or in part, in accordance with the Program terms and conditions, without prior notice.

Once you qualify for Elite Status, you will maintain that status for the remainder of the then-current calendar year and through the following Program year, which runs from March 1 to February 28/29. We may from time to time grant discretionary Elite Status or offer promotion(s) that modify the criteria necessary to earn Elite Status. f. Miscellaneous:

i. Online Account: Once you are enrolled in Radisson Rewards Americas and/or Radisson Rewards for Business Americas, you must activate your online account. Radisson will endeavor to credit your account with points on a timely basis. You are responsible for verifying that points are properly credited to your Radisson Rewards Americas or Radisson Rewards for Business Americas account. Any claim for points not properly credited must be received by Radisson with supporting documentation within six (6) months of the date of the claimed accrual of such points.

ii. Transfers: Except as expressly allowed in these Program Terms or with Radisson’s written consent, Radisson Rewards Americas or Radisson Rewards for Business Americas membership, points, Award Nights, Express Awards, Elite Status, and other Program benefits may not be sold, exchanged, bartered, brokered, transferred, purchased, auctioned, or given away, including without limitation as part of a domestic relations matter, divorce, inheritance, or otherwise by operation of law.

1. Transfers by Members with Elite Status: Radisson Rewards Americas or Radisson Rewards for Business Americas members with Elite Status may transfer points from that member’s account to another account upon request.

2. Transfers within a Household: Radisson Rewards Americas or Radisson Rewards for Business Americas members may transfer points to another member who resides in the same household, provided both individuals have been members for at least one year and the addresses for both accounts involved in the transfer have not been updated within thirty (30) days prior to the transfer request. Radisson reserves the right to require proof of eligibility or residency and, at its sole discretion, deny any request to transfer points.

3. Transfers upon Death: Points belonging to a Radisson Rewards Americas or Radisson Rewards for Business Americas member who is deceased may be transferred to the account of the deceased member’s beneficiary(ies) at our sole discretion. The deceased member’s membership in Radisson Rewards Americas or Radisson Rewards for Business Americas must have been in good standing at the time of death. The transfer request must include documentation showing proof of death, such as a death certificate, and proof of authority to make the request, such as court documents or the decedent’s will. Requests must be made within one (1) year of the date of death or the deceased member’s account will be closed and all points forfeited.

iii. No Cash Value: Except where required by law, points have no cash value and do not constitute member property. Accumulation of points does not entitle members to any vested rights with respect to any awards or the Program. As a Radisson Rewards Americas or Radisson Rewards for Business Americas member, the only right you acquire in points is the opportunity to surrender them for redemption in accordance with these Program Terms.

5. GENERAL

a. Privacy Policy: Participation in Radisson Rewards Americas is subject to the terms and conditions of the Radisson Guest Privacy Policy, found at www.radissonhotelsamericas.com/en-us/privacy (collectively our “Privacy Policies”), and our Site Usage Agreement set forth at www.radissonhotelsamericas.com/en-us/site-usage. In addition, by participating in the Program, we may collect additional personal information from or regarding you. We may also use and share your personal information in the ways described below, in addition to what is described in our Privacy Policies. These Program Terms supplement our Privacy Policies with respect to the use, sharing, and processing of the personal information of Program members. IF YOU DO NOT AGREE TO THESE TERMS, you must elect not to join and/or to withdraw from the Program. Additional personal information that we collect includes information that you provide when you enroll in the Program or when you manage your personal profile. During enrollment, we require that you provide your name, physical address including city, state or province, and country of residence, and email address. When you manage your profile, you can provide additional information. In order to administer the Program, your personal information may be shared with our Partners, franchisees, fulfillment houses, email service providers, and mail houses and marketing companies providing services to such entities to further the purposes of the Program for their use pursuant to their privacy policies and practices. By enrolling and remaining a member, you also consent to the transfer of your information to countries we and our and Partners’ maintain information processing facilities, business operations, and hotels, including the United States and other countries where data protection laws may differ from those of your home country. To ensure that your personal information is consistent, accurate, and up-to-date, we may also share your information with a third party for the purpose of updating and enhancing the quality and content of the information we maintain about you. As a member, you may receive additional communications from us, including statements, third-party news, member offers, and messages from our Partners. Members may also receive pre-arrival, reservation confirmation, and post-stay emails from us. You may change your preferences in regard to the communications that you receive from us by logging onto your account online and managing your subscriptions, or by contacting us in the manner described in our Privacy Policies and the Program Terms. We may modify our Privacy Policies and the Program Terms from time to time. Your continued participation in the Program following the posting of changes will indicate your acceptance of the changes.

b. Subject to Applicable Law: Membership and participation in Radisson Rewards Americas and/or Radisson Rewards for Business Americas, and the collection and redemption of points, is subject to and may be void where prohibited or restricted by applicable law, rule or regulation, or employer’s or customer’s policies or requirements.

c. Currency Conversion to US Dollars: All amounts settled in a currency other than US dollars will be converted to US dollars at a conversion rate determined by us in our sole discretion.

d. Disclaimer of Warranties and Limitation of Liability:

RADISSON OFFERS RADISSON REWARDS AMERICAS AND RADISSON REWARDS FOR BUSINESS AMERICAS, THESE PROGRAM TERMS, AND ANY OTHER RELATED SERVICES AND PRODUCTS “AS-IS” AND, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXPRESSLY DISCLAIMS ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DESIGN, ACCURACY, CAPABILITY, SUFFICIENCY, SUITABILITY, CAPACITY, COMPLETENESS, OR AVAILABILITY. WITHOUT LIMITING THE FOREGOING, RADISSON DOES NOT REPRESENT, WARRANT, OR GUARANTY THAT RADISSON REWARDS AMERICAS OR RADISSON REWARDS FOR BUSINESS AMERICAS OR ANY OTHER RELATED SERVICES AND PRODUCTS WILL BE UNINTERRUPTED, WITHOUT OMISSIONS OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED OR CHANGES IMPLEMENTED.

YOU AGREE THAT UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, WILL RADISSON, ITS OWNERS, AFFILIATES AND SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS HAVE ANY LIABILITY OR RESPONSIBILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES, OR DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES TO PERSONS, INCLUDING WITHOUT LIMITATION PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE ARISING IN WHILE OR IN PART, DIRECTLY OR INDIRECTLY, FROM MEMBERSHIP OR PARTICIPATION IN RADISSON REWARDS AMERICAS OR RADISSON REWARDS FOR BUSINESS AMERICAS OR USE OF AWARDS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, therefore such exclusions may not apply to you. In the event any of the foregoing are held liable for any damages related to such matters, your sole and exclusive remedy will be limited to reimbursement for services or products paid by you to the entity held liable which were not provided by such entity.

e. Indemnification: You agree to indemnify, release and hold harmless Radisson, the Participating Properties, and our Partners, and any of their parents, subsidiaries, and affiliates, and their respective directors, officers, employees, and agents, from any liability, costs, damages, and fees (including attorneys fees) arising out of any claims related to your membership in Radisson Rewards Americas or Radisson Rewards for Business Americas.

f. Program Modifications or Termination: We reserve the right at any time, in our sole discretion, with or without notice and without any further liability or obligation, even though changes may affect the value of points already accumulated, to (i) add, modify, delete, change, suspend, or terminate (“Change”) Radisson Rewards Americas or Radisson Rewards for Business Americas, in whole or in part; including without limitation any of the rules, procedures, conditions, benefits, awards, award levels, Participating Properties, Partner affiliations and opportunities, earning terms, redemption rules, or award availability (ii) Change these Program Terms, in whole or in part; (iii) Change any Radisson Rewards Americas or Radisson Rewards for Business Americas offers; (iv) Change the ability to redeem points in whole or in part; (v) Change the procedures for redeeming points, including the number of points required for redemption; (vi) Change the ability to accrue points, including but not limited to imposing time limits and changes in point values, in whole or in part; or (vii) assign in whole or in part Radisson Rewards Americas or Radisson Rewards for Business Americas to any related or unrelated entity. Upon assignment, the performance of the obligations herein will thereafter be the sole and direct responsibility of that entity. In the event of the termination of Radisson Rewards Americas or Radisson Rewards for Business Americas, all points not redeemed by the termination date of Radisson Rewards Americas or Radisson Rewards for Business Americas will be forfeited without compensation or any further obligation or liability, and no redemption of points will be honored thereafter. In accumulating points and otherwise participating in the Program, you may not rely upon the continued availability of Radisson Rewards Americas or Radisson Rewards for Business Americas, or any earning, redemption, or other offers made in connection with Radisson Rewards Americas or Radisson Rewards for Business Americas. All offers are available while supplies last, subject to any applicable cancellation policies, and are subject to change and/or revocation without notice. Program account information is our proprietary information and may be accessed by members only for the purpose of obtaining information regarding their account. We reserve the right to audit or investigate Program accounts and information at any time without notice to ensure compliance with Program Terms. During the course of an audit or investigation, information may be shared with parties assisting in such audit or investigation.

g. Governing Law and Interpretation: Your enrollment application and points earning and redemption claims under Radisson Rewards Americas are subject to our verification and acceptance in our sole discretion, all of which acts shall be deemed made, performed, transacted, and closed in Minnesota, USA. Any claim or dispute arising or relating thereto or otherwise involving Radisson Rewards Americas, membership, or these Program Terms shall be governed and construed in accordance with the laws of the State of Minnesota (USA), without regard to its choice of law or conflict of laws terms. All interpretations of the Program Terms shall be at the sole discretion of Radisson. The English language version of the Program Terms governs.

h. Dispute Resolution: Any dispute between You and Radisson arising under, out of, in connection with, or in relation to the Program, the Program Terms, any award, any redemption, or the parties' relationship, must be submitted to binding arbitration administered under the American Arbitration Association ("AAA") in accordance with its then-current rules and procedures, except to the extent the rules and procedures are modified below. The arbitration shall be heard by a single arbitrator. The arbitration must take place in Minneapolis, Minnesota, or at another place mutually agreed upon by the parties.

i. Multiparty or class arbitration is specifically prohibited, and any arbitration will be on an individual basis alone; the arbitration may not be consolidated or otherwise joined with any other proceeding. The arbitrator will have no authority or power to proceed with any claim as a multiparty proceeding or a class action or to otherwise join or consolidate any claim with any other claim or any other proceeding involving third parties.

ii. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration under this section without the prior written consent of both parties.

iii. The decision of the arbitrator will be final and binding on all parties to the dispute; however, the arbitrator will have no authority or power to: (i) stay the effectiveness of any pending termination of the Program; (ii) assess punitive or exemplary damages, or any other categories of damages disclaimed and waived in these Terms and Conditions; or (iii) make any award that extends, modifies, or suspends any lawful term of the Program. The arbitrator must also follow the applicable law and may not disregard the law based on principles of justice or equity which are not a specific part of the applicable law. A judgment may be entered upon the arbitration award by any state or federal court in Minnesota or any other court of competent jurisdiction.

i. Jury Trial: The parties irrevocably waive any right they may have to a jury trial.

j. Statute of Limitations: Any and all rights to bring any claim or action relating to the Program, the Program Terms, any award, any redemption, or the parties' relationship must be brought within two (2) years after the first occurrence of the kind of act, event, condition, or omission upon which the claim or action is based.

k. Attorneys' Fees: The prevailing party in any action or proceeding arising under, out of, in connection with, or in relation to the Program, the Program terms, any award or reimbursement, or the parties’ relationship is entitled to recover its reasonable attorneys' fees and costs.

l. Force Majeure : Our failure to administer Radisson Rewards Americas or Radisson Rewards for Business Americas in accordance with these Program Terms because of an act of God, war, fire, riot, terrorism, earthquake, actions of federal, state or local governmental authorities, including but not limited to the imposition of sanctions, or for any other reason beyond our reasonable control will not be deemed a breach of these Program Terms.

m. Entire Agreement/Waiver: These Program Terms and the other terms expressly referenced herein and linked hereto constitute the entire agreement between you and us regarding your participation in Radisson Rewards Americas or Radisson Rewards for Business Americas, your opportunity to earn and redeem points through Radisson Rewards Americas or Radisson Rewards for Business Americas, and your entitlement to any other benefits of Radisson Rewards Americas, and supersede all prior agreements between us, whether oral or written, including, without limitation, all previous versions of these Program Terms. If we fail to act with respect to your breach or anyone else's breach of these Program Terms on any occasion, we do not waive our right to act with respect to future or similar breaches.

n. Severability: If any provision of these Program Terms is held by a court of competent jurisdiction to be void, invalid, contrary to law, or unenforceable for any reason, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Program Terms shall remain in full force and effect.

o. Electronic Communications; Notices: When you interact with us over the internet, you consent to the formation of contractual relations through electronic communications. You represent and warrant that you have the legal right, power, and authority to agree to these Program Terms on behalf of yourself and the member or other entity on whose behalf you are acting while participating in the site if not acting only for yourself. You further agree that your use constitutes an electronic signature as defined by the Electronic Signatures in Global and National Commerce Act ("E-Sign") and the Uniform Electronic Transactions Act ("UETA") and that you have formed, executed, entered into, accepted the terms of, and otherwise authenticated these Program Terms and acknowledged and agreed that these Program Terms are an electronic record for purposes of E-Sign, UETA and the Uniform Computer Information Transactions Act (“UCITA”) and as such are completely valid, have legal effect, are enforceable, and are binding on, and non-refutable by you and the member, buyer, supplier, or other entity on whose behalf you are acting. You are responsible for remaining knowledgeable as to Program Terms, newsletters, account statements, the privacy policy, and your membership account status. We may attempt, but are not required, to notify you of matters of interest, including notification of point forfeiture or Program changes. We are not liable for any failure to do so and are not responsible for incorrect or inaccurate transcription of your contact information, for problems related to any of the equipment or programming associated or utilized by you, for any human error, for any interruption, deletion, omission, defect or line failure of any electronic communications network or electronic transmission, for problems relating to computer, mobile or other equipment, software, inability to access any site or online service, for any other technical or non-technical error or malfunction, for lost, late, stolen, illegible, incomplete, garbled, misdirected, mutilate, or postage-due mail, email or other communication for whatever reason. You are responsible for creating and protecting private account access information and for maintaining the security of that information. We are not responsible for stolen or otherwise intercepted account access information. If the security of that information is breached, we are not liable for any access to that account, accumulation of points, award redemptions, or other account activity that occurs as a result, and in no event are we responsible for reimbursing any points redeemed or other damages or losses claimed to occur as a result. If you become aware of any fraudulent or otherwise improper activity, you must report that activity to us immediately. You are responsible for advising us of any changes to your contact information.

Trademarks: Radisson Rewards, Radisson Blu, Radisson, Radisson RED, Park Plaza, Park Inn, Country Inn & Suites, and any other current and future trademarks and service marks associated with Radisson Rewards Americas and Radisson Rewards for Business Americas are service marks and trademarks of Radisson, or its affiliates or subsidiaries, and may not be reproduced or utilized in any way without the express, prior written consent of Radisson.

q. Administration: Radisson administers and promotes Radisson Rewards Americas and Radisson Rewards for Business Americas, creates and launches marketing and promotional campaigns on behalf of Radisson Rewards Americas and Radisson Rewards for Business Americas, and manages the relationships between Radisson Rewards Americas, Radisson Rewards for Business Americas and its Partners. Radisson may from time to time sell points to third parties, including Participating Properties and Partners, and redeem points for cash (including, without limitation, points received from Participating Properties), airline tickets and other merchandise from our Partners.
